1. Agreement to Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and TradeCodeLabs (“we,” “us,” or “our”), concerning your access to and use of our website (tradecodelabs.com) and the software products (MetaTrader Indicators, Expert Advisors, Scripts) available through it.

By accessing the Site and purchasing our products, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Site immediately.

2. Our Products

TradeCodeLabs develops and distributes technical analysis software tools for the MetaTrader 4 (MT4) and MetaTrader 5 (MT5) trading platforms. Our products include indicators, Expert Advisors (EAs), and scripts that provide chart visualization, pattern recognition, and trade automation functionality.

Our products are software tools only. They are designed to assist with technical chart analysis and trade execution automation. They do not provide, and should not be construed as, financial advice, investment advice, trading signals, or trading strategies. All trading decisions remain solely your responsibility.

3. Intellectual Property Rights

Unless otherwise indicated, the Site and our software products — including source code, compiled files, algorithms, and designs — are our proprietary property and are protected by copyright and trademark laws.

  • Source Code: Unless you have purchased a specific “Source Code License,” you receive only the compiled executable file (.ex4/.ex5). Reverse engineering, decompiling, or disassembling our software is strictly prohibited and will result in an immediate license ban without refund.
  • Trademarks: The TradeCodeLabs name, logo, and product names are our trademarks. You may not use them without our prior written consent.

4. Software License Grant

Upon purchase, we grant you a non-exclusive, non-transferable, revocable license to use our software for your personal trading purposes, subject to the following conditions:

  • Single User License: The license allows you to use the software on the specific MetaTrader accounts you register in your Dashboard.
  • No Redistribution: You may not resell, redistribute, lease, or sub-license the software to any third party.
  • No File Sharing: Uploading our files to public forums, file-sharing sites, Telegram groups, or any other distribution channel is a violation of these Terms and will result in immediate license revocation.
  • License Revocation: We reserve the right to revoke your license at any time if we detect a violation of these Terms, including but not limited to unauthorized distribution or account sharing.

5. High Risk Warning & Disclaimer

RISK WARNING
Trading Foreign Exchange (Forex) and Contracts for Difference (CFDs) is highly speculative, carries a high level of risk, and may not be suitable for all investors. You may sustain a loss of some or all of your invested capital. You should not invest money that you cannot afford to lose.

Our software tools are provided for educational and analytical purposes only. They are technical analysis tools that display chart overlays, calculate mathematical indicators, and automate trade execution based on user-configured parameters. They are:

  • NOT financial advice or investment advice
  • NOT trading signals or strategy recommendations
  • NOT a guarantee of any specific profit, performance, or trading outcome

Past performance of any trading system or methodology is not necessarily indicative of future results. You assume full responsibility for your trading decisions and their outcomes.

6. Payments and Billing

Merchant of Record

Our order process is conducted by our online reseller Paddle (Paddle.com Market Ltd / Paddle.com Inc). Paddle is the Merchant of Record for all our orders. This means:

  • Paddle handles all payment processing, invoicing, and tax collection on our behalf.
  • Your purchase transaction is between you and Paddle. Paddle then remits payment to us.
  • All invoices and receipts are issued by Paddle.
  • Applicable sales tax, VAT, or GST is calculated and collected by Paddle based on your location.

By completing a purchase, you also agree to Paddle’s Consumer Terms and Conditions.

Pricing

All prices are displayed in USD unless otherwise indicated. Prices are subject to change without prior notice. We reserve the right to modify pricing for our products at any time.

7. Digital Content & Delivery

Our products are digital goods (downloadable software files). Upon successful payment, you will receive access to download your purchased product(s) via your Dashboard. By purchasing and downloading our software, you acknowledge that:

  • The product is delivered immediately upon payment confirmation as a digital download.
  • Once downloaded, the digital content has been fully delivered.
  • You consent to the immediate supply of digital content and acknowledge that this may affect your cancellation rights (see our Refund Policy).

8. User Accounts

You are responsible for maintaining the confidentiality of your Dashboard login credentials. You agree to:

  • Provide accurate and complete registration information.
  • Keep your login credentials secure and not share them with third parties.
  • Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if we detect suspicious activity, such as license key sharing or concurrent logins from widely distributed geographic locations indicative of account sharing.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • In no event will TradeCodeLabs, its directors, employees, or affiliates be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our software, even if we have been advised of the possibility of such damages.
  • We do not guarantee that our software will be error-free, uninterrupted, or free from viruses or other harmful components.
  • Our total liability for any claims arising under these Terms shall not exceed the total amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TradeCodeLabs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of our products, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. You consent that the courts of the United States shall have exclusive jurisdiction to resolve any disputes arising in connection with these Terms.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the “Last Updated” date at the top of this page. Your continued use of the Site and our products following the posting of revised Terms means you accept those changes.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
